The Ground Rules
The terms that apply when you use this site or work with Rank2Reach.
These Terms and Conditions (“Terms”) govern your use of rank2reach.com (the “Site”) and the digital marketing services provided by Rank2Reach Marketing.
Rank2Reach Marketing is a sole proprietorship owned and operated by Rahul Aggarwal, with its place of business at 238, 2nd Floor, Janta Flats, Paschim Puri, New Delhi 110063, India. In these Terms, “Rank2Reach”, “we”, “us” and “our” mean Rank2Reach Marketing and its proprietor. “You” means the person using the Site and the business that person represents.
1. Our Services
Rank2Reach provides digital marketing services for businesses. These include Google Ads management, Meta (Facebook and Instagram) ads, Local Service Ads, ChatGPT ads, Google Business Profile setup and optimisation, Google Business Profile and advertising account suspension recovery, conversion tracking and analytics, review and reputation management, SEO and website design.
The scope, deliverables, fees and timelines of each engagement are set out in a separate proposal, quote, order or service agreement (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement controls.
2. Who Can Use the Site and How You Accept These Terms
Our services are for businesses. By using the Site or engaging us, you confirm that:
- You are at least 18 years old
- You are acting for a business and not as an individual consumer
- You have authority to bind that business to these Terms
You accept these Terms when you submit a form on the Site, approve a proposal, sign an Agreement, pay an invoice or otherwise instruct us to begin work. You agree that acceptance by electronic means, including email, is valid and binding.
If you do not agree with these Terms, please do not use the Site or our services.
3. Use of the Site
You agree to use the Site only for lawful purposes. You must not:
- Submit false or misleading information, or another person’s information, through our forms
- Send spam or attempt to gain unauthorised access to the Site, its servers or its admin areas
- Interfere with the Site’s operation, or introduce malware or harmful code
- Scrape, copy or republish Site content for commercial use without our written permission
4. Free Audits and Consultations
Free audits, reviews, strategy calls and recommendations are provided for general information. They are based on the data available to us at the time. They do not create a client relationship or any obligation for either party until an Agreement is in place.
5. Fees, Billing and Term
- Fees. Our fees are stated in your Agreement. Unless your Agreement says otherwise, fees are quoted and payable in US dollars and billed in advance.
- Advertising spend. Advertising spend is separate from our fees. You pay advertising platforms such as Google and Meta directly, unless your Agreement says otherwise.
- Taxes. Our fees do not include taxes. You are responsible for any sales, use or similar taxes that apply in your country. Clients located in India are charged GST at the applicable rate.
- Payment. Invoices are due on the invoice date and overdue after 7 days. Overdue amounts may carry interest at 1.5% per month or the highest rate the law allows, whichever is lower. We may pause work on accounts with overdue invoices.
- Term and renewal. Unless your Agreement states a fixed term, engagements run month to month and renew automatically each month until cancelled.
- Cancellation. Either party may cancel by written notice (email is fine) at least 7 days before the next billing date. Cancellation takes effect at the end of the paid period.
- Refunds. Fees already paid for a billing period are non-refundable, except where the law requires a refund or your Agreement provides one. One-time project fees are non-refundable once work has started.
- Chargebacks. Please raise any billing concern with us first. If you file a chargeback without contacting us, we may suspend work until it is resolved.
6. Fee Transparency and Reporting
We believe you should always know what you are paying for.
- Our management fee is shown separately from your advertising spend.
- You will receive regular performance reports. For advertising accounts these include, at a minimum, cost, clicks and impressions for each platform.
- You keep ownership of, and administrative access to, your own advertising, analytics and business profile accounts.
7. Our Independence from Platforms
Rank2Reach is an independent marketing agency. We are not owned by, affiliated with, endorsed by or sponsored by Google, Meta, OpenAI or any other platform we work on. Google, Google Ads, Google Business Profile, Meta, Facebook, Instagram and ChatGPT are trademarks of their owners.
Some members of our team previously worked at Google or Meta. That experience informs how we work. It does not give us special access, influence or decision-making power within those companies. All appeals, reviews and support requests go through each platform’s official channels.
8. Suspension Recovery and Verification Services
For Google Business Profile, Google Ads and other account suspension recovery or verification work:
- Decisions to reinstate, verify, reject or permanently close a profile or account are made only by the platform.
- We do not guarantee reinstatement, verification or any timeline.
- Our fee pays for the work of reviewing your case, correcting compliance issues, preparing evidence and submitting and following up on the appeal. Unless your Agreement says otherwise, it is not conditional on the outcome.
- You confirm that all documents, photographs, videos and business details you give us for an appeal are genuine and accurate. We will not submit information we know to be false, and we may stop work if we find that it is.
- If your business does not meet the platform’s eligibility rules, we will tell you. We will not help work around those rules.
9. No Guarantee of Results; Testimonials
Marketing results depend on many factors outside our control, such as competition, market demand, budget, your website, your pricing and your sales process. We do not guarantee specific rankings, traffic, leads, sales, return on advertising spend or the outcome of any appeal.
Figures, case studies and client testimonials on the Site describe past work for specific clients. They are not a promise that you will get the same result. Testimonials are from real clients and are published with their permission.
10. Your Responsibilities as a Client
You agree to:
- Give us timely access to the accounts, assets and information we need to do the work
- Make sure your products, services, website, licences and advertising claims are accurate and lawful
- Hold all rights needed for any content, logos or materials you supply to us
- Review and approve campaigns, creative and copy when we ask you to
- Keep your own account logins secure, and give us access through each platform’s user or manager settings and not by sharing passwords
- Comply with the terms and advertising policies of each platform
Delays in access, information or approvals may delay our work. We are not responsible for missed timelines caused by those delays.
11. Data Protection
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
While managing your accounts we may see personal information about your customers. For that information, you decide how and why it is used, and we act as your service provider. We will use it only to deliver the services, keep it confidential, protect it with reasonable security measures and delete or return it when the engagement ends, unless the law requires us to keep it. You are responsible for having a lawful basis to collect that information and for your own privacy notices.
12. Third-Party Platforms
Our services rely on platforms we do not control, including Google, Meta and OpenAI. Each platform has its own terms and policies, which can change at any time. We are not responsible for platform outages, policy changes, ad disapprovals, account or profile suspensions, or changes in costs or algorithms, unless they result directly from our breach of these Terms.
13. Intellectual Property
All content on the Site, including text, graphics, logos and design, belongs to Rank2Reach or its licensors and is protected by intellectual property laws.
Once you have paid in full, you own the campaign assets, ad copy and creative made specifically for you, unless your Agreement says otherwise. We keep ownership of our pre-existing tools, templates, scripts, processes and know-how, and you may continue to use any of these that are built into your deliverables.
We may describe the general nature of our work for you in our marketing without disclosing confidential information. We will ask for your written permission before using your name, logo or a testimonial. You may withdraw that permission at any time.
14. Communications
By giving us your contact details, you agree that we may contact you by phone, email and text message about your enquiry, your account and our services. You can opt out of marketing messages at any time by replying STOP to a text, using the unsubscribe link in an email, or writing to hello@rank2reach.com. Agreeing to marketing calls or texts is not a condition of buying our services.
You agree that notices, invoices and Agreements may be sent to you electronically and that electronic records satisfy any requirement for written communication.
15. Confidentiality
Each party will keep the other party’s non-public business information confidential and use it only to perform the engagement. This does not apply to information that is public, was already known to the receiving party, was independently developed or must be disclosed by law. This duty continues for 3 years after the engagement ends.
16. Disclaimers and Limitation of Liability
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
Articles and blog content are general information. They are not legal, financial or professional advice.
TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR OUR SERVICES IS LIMITED TO THE FEES YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to fraud, wilful misconduct, a party’s payment obligations, or any liability that cannot be limited under the applicable law.
17. Indemnification
By you. You agree to indemnify Rank2Reach against third-party claims, losses and reasonable legal costs arising from your products or services, the content, documents or instructions you give us, your breach of these Terms, or your violation of any law, platform policy or third-party right.
By us. We agree to indemnify you against third-party claims, losses and reasonable legal costs arising from our fraud or wilful misconduct, or from a claim that original work we created for you infringes a third party’s copyright, except where the claim results from materials or instructions you gave us.
The party seeking indemnity must tell the other promptly and allow it to control the defence.
18. Termination
Either party may end an engagement as set out in section 5 or in the Agreement. Either party may end it immediately by written notice if the other commits a serious breach and does not fix it within 14 days of being told.
We may suspend or end your access to the Site if you breach these Terms.
When an engagement ends, you will pay all fees due up to the end date, we will hand over the deliverables you have paid for, and we will remove our access to your accounts or ask you to remove it. Sections that by their nature should continue, including fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification and dispute resolution, will continue.
19. Governing Law and Dispute Resolution
Governing law. These Terms are governed by the laws of India, without regard to conflict-of-law rules.
Talk to us first. If a dispute arises, the party raising it will write to the other and both will try in good faith to settle it within 30 days.
Arbitration. If the dispute is not settled, it will be finally resolved by arbitration under the Arbitration and Conciliation Act 1996. There will be one arbitrator, appointed jointly by the parties or, failing agreement, under that Act. The seat of arbitration is New Delhi, India. The language is English. Hearings may be held by video conference. The award is final and binding and may be enforced in any court with jurisdiction.
Courts. Subject to the arbitration clause above, the courts in New Delhi, India have exclusive jurisdiction. Either party may ask any competent court for urgent interim relief or to protect its intellectual property or confidential information.
Individual claims. Each party may bring claims only in its own capacity and not as part of a class or representative action.
Nothing in this section removes any right that the law of your country says cannot be waived.
20. General
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as internet or platform outages, natural disasters, government action or civil unrest. This does not excuse payment of fees already due.
- Independent contractor. We are an independent contractor. Nothing in these Terms creates a partnership, employment or agency relationship, except that we act on your behalf inside your accounts as you authorise.
- Assignment. Neither party may transfer these Terms without the other’s written consent, except to a successor of its business.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. A delay in enforcing a right is not a waiver of it.
- Entire agreement. These Terms, the Privacy Policy and your Agreement are the whole agreement between us on their subject.
- Notices. Notices to us must be sent to hello@rank2reach.com. Notices to you will be sent to the email address you gave us.
21. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top shows when they were last revised. For visitors, the updated Terms apply from the date they are posted. For clients with an active engagement, we will give at least 30 days’ notice by email of any material change. If you do not agree, you may cancel before the change takes effect.
